Alteva CEO Cuthbert named CEO of New York parent company

David Cuthbert, CEO of Philadelphia-based cloud and unified communications provider Alteva, was named yesterday as CEO of its New York State-based parent company, which was also renamed Alteva from WVT Communications earlier this year. Cuthbert was already President of the parent company. This completes a gradual transition toward Philadelphia's Alteva management team taking greater responsibility for the entire company, although there was no indication in today's announcement that corporate headquarters would relocate to Philadelphia. (Update: this article from Alteva's (WVT's) hometown paper in New York provides more information on the CEO transition and reiterates that Corporate headquarters will remain in New York for now.) Previous CEO Duane W. Albro will continue as a Director until May, the statement said.

Although its primary growth focus is on cloud and unified communications, Alteva still operates a local telephone franchise in its home area in New York as well as having an interest in a local wireless franchise there. Overall revenue in the 3rd quarter 2012 was $7.1 million with a net loss of $922,000. Alteva (NYSE MKT: ALTV) has a market capitalization of $64 million.

Alteva's Chief Sales Officer for both the parent and the Philadelphia unit, Louis Hayner, recently announced to his LinkedIn followers that he was leaving Alteva at the end of February to pursue other entrepreneurial opportunities.

WVT acquired Alteva for $17 million in cash and stock in July 2011.

WVT Communications becomes Alteva: No longer your great-grandfather's phone company

WVT Communications (originally Warwick Valley Telephone), the small local New York telco that acquired Philadelphia-based unified communications provider Alteva in 2011, is making Alteva its official corporate name, the company announced yesterday. It plans to change its ticker symbol on the NYSE MKT exchange to ALTV effective February 4, pending shareholder approval.

I asked WVT by email whether it was in the plans for the renamed corporation to move its headquarters from New York to Philadelphia, and a spokesperson rsponded that "we have no plans for a move at this time and we still have substantial operations and management in Warwick, NY."

In its press release, WVT/Alteva referred to itself as the "nation's ninth largest unified communications provider." I recently wrote about one of the larger ones, Wayne-based Evolve IP. Although the two vendors are not precisely
apples-to-apples in terms of strategies and service offerings, Evolve IP reported 2011 revenue of $17.2 million and indicated that it had very substantial but unspecified growth again in 2012. According to its latest financial report from last year, Alteva's cloud communications revenue were running at annual rate of about $15 million with 38% growth. Alteva's current market capitalization (the total value of its stock) is about $68 million.

Alteva opened a new Philadelphia headquarters last year at 401 Market Street, featuring an "innovation center" that is viewable at street level, with "experience zones" where individuals can get a hands-on look at Alteva's system. Alteva's President & COO is David Cuthbert, who is based in Philadelphia, while Duane W. Albro is Chief Executive Officer based out of New York. The corporation reports having over 50 employees in Philadelphia.

Evolve IP closes strong year with local deal

Wayne-based cloud services provider Evolve IP closed out another year of strong growth, COO and GM Guy Fardone told me in a phone interview. He declined to reveal revenue figures for 2012, but said growth had averaged well over 100% per year over the past few years. Evolve IP appeared on the 2012 Inc. 500 (#321) with reported 2011 revenue of $17.2 million, up from $1.4 million in 2008 (it was founded in 2006).

The company has also been doing some deals, not to buy technology, but to acquire some managed service providers' customer bases and partnering with others. Locally, in late December Evolve IP announced a transaction with Exton-based Semperon, in which Evolve IP acquired Semperon’s Broadsoft Unified Communications customer base and Semperon became an Evolve IP reselling partner. Fardone would not disclose the size of the transaction or the number of customers involved, but did say
the two companies had worked together for some time. Evolve IP is also using acquisitions and partnerships to expand towards a nationwide service footprint. In September, it acquired Chicago area managed communications provider IPiphany.

When I asked Fardone how Evolve IP compared to other Philly area-based VoIP/Unified Communications providers such as Alteva and CoreDial, he said EvolveIP was considerably larger, tended to serve larger enterprise customers, and probably provided a higher percentage of data services in addition to VoIP as part of its overall business mix (Alteva parent WVT Communications reported cloud communications revenue of $3.6 million in third quarter 2012, an increase of 38% over the prior year). One particular area of focus for Evolve IP is serving the high volume corporate call center market.

Evolve IP is not like a traditional telecom company that operates a large network. Rather it is more of a software company that has built a proprietary platform which integrates unified communications, VoIP and virtualization technology from vendors including VMware, EMC, Broadsoft, Cisco and Microsoft. Its proprietary OSSmosis Portal gives customers a dashboard from which they can self-manage their communications features. It provides a "virtual switch" and manages customer data off premise in the Cloud, operating data centers in Wayne and Las Vegas. It currently has 80 employees, and they are looking for people (see current openings).

Evolve IP has raised over $24 million. Investors have included Ira M. Lubert, chairman and co-founder of Independence Capital Partners, and Peter G. Peterson, co-founder of pioneering PE firm The Blackstone Group and one time US Secretary of Commerce. Chairman, Chief Executive Officer, and Co-Founder Thomas J Gravina previously served as President and CEO of King of Prussia-based ATX Communications, which was acquired by Broadview Networks in 2006. Fardone, who was also an Executive Vice President at ATX, is active in the Philly Tech community and with organizations including PACT. Both Gravina and Fardone are Villanova graduates. Vice Chairman and Co-Founder Michael Peterson is the son of Peter G. Peterson.

While many of the managed service aspects of business telecom require a strong local presence, and various network providers have different regional focuses, the software and cloud computing aspects are not inherently local. Continued movement toward nationwide consolidation in the industry is inevitable.

Earlier this year, Evolve IP opened an incubator-like "innovation center" for startups at its campus on Old Eagle School Road. The center, which also offers possible tax and assistance benefits due to it being located in a Keystone Innovation Zone, initially is offering 10,000 square feet of space, although that could eventually be expanded to 100,000. Evolve IP also described how it helped keep some customers afloat after Hurricane Sandy.

Alteva: Comcast enters its market, as it expands office space & hiring; Launches new ad campaign

Plenty of things are going on with Philly-based Alteva, which since being acquired last year is a unit of Orange County, New York-based WVT Communications Group (NASDAQ: WWVY), also known as Warwick Valley Telephone. Alteva provides unified communications services, which include a platform for VoIP (Voice over Internet Protocol) along with integrated communications and information management tools, to small, medium-sized and larger enterprises.

Comcast had already built a sizable business providing communications services primarily to the SME market, but more through offering raw bandwith access rather than intelligent managed services. But in late March Comcast announced the launch of Business VoiceEdge, a service that at least on the surface sounds very similar to Alteva's. Like Alteva, Business VoiceEdge provides a hosted, cloud-based solution that eliminates the need for an on-premise PBX. Also like Alteva, Comcast' offering provides Hi-Def VoIP, is built on BroadSoft's platform, and ties in access to a package of Microsoft apps for unified communications. I don't have enough information now to compare the two apples to apples on features and price (Comcast says its price per line will run between $24.95 to $34.95, though there can be numerous variables involved when comparing pricing) but they are definitely playing in the same sandbox now.


Alteva sees Comcast's entry as a validation of the potential of its market. “Comcast clearly sees the growth in the unified communications industry and appears to be responding to this market push. But I believe we are offering a significantly different value proposition and suite of products to the cloud market,” Alteva President David Cuthbert said in a statement to Philly Tech News. “We believe that Alteva’s fully integrated offering is the most comprehensive UC solution available. While Comcast is looking to expand their services to their customers, Alteva has been a pioneer in the cloud and UC markets for many years now. Our focus on customer needs has paid off over the years and has contributed to our ability to provide our clients with a solution that helps them be more successful in their businesses.”


Alteva' solutions are not completely unique; there are several competitors with roughly similar offerings. Most of them are still fairly small with a regional focus. A major challenge for firms such as Alteva will be to establish a broader geographical footprint. Comcast's says Business VoiceEdge is now available across most of Comcast’s Northeastern Division, which is Alteva's home territory, and that "nationwide rollout across Comcast’s entire service is targeted by the end of 2012". Comcast is a huge business telecom provider already, with revenue running at about a $2 billion annual rate and growing at over 30%. Comcast will have to demonstrate, however, that it can be as agile as smaller firms such as Alteva in tailoring solutions to meet specific customers' needs.

To help further spread awareness of hosted UC solutions in the Greater Philadelphia Region, Alteva recently launched its “My Phone Stinks” contest that invites small businesses in the Delaware Valley to enter to win a complete UC system, free for an entire year.

Alteva will also be making a significant expansion in Philadelphia this summer. It has taken a lease on the former Wells Fargo branch at 401 N. Market St, containing slightly over 9,000 square feet. A renovation has been designed by Philly architectural and design firm L2 Partridge LLC (who's own website is also under construction). The space will have an open design with large windows allowing viewing from the street, and will be set up to allow customers and prospects to simulate an office communications environment and try out products and services. A major purpose of the location is to build awareness of Alteva in the area business community. The old bank vault will also be maintained. Alteva will also keep its existing space in the Bourse Building on Independence Mall (about 4,000 square feet), which will be used primarily for technical & development staff and is intended to eventually house a Network Operations Center for all of Alteva.

Alteva also continues to add staff in Philly. Plans are to bring on about 23 more employees this year to reach a total headcount of 50 by year end, the company says. Almost all are based out of Philadelphia, except for a few remote sales/customer service people.

The word is part of the plan is for Philadelphia to become the headquarters location of WVT Communications Group, although the company is not willing to comment on that now. WVT's other components are local telco Warwick Valley Telephone, based in Orange County, New York and also having a wireless partnership in that area, and USA Datanet, a Syracuse-based company acquired by WVT in 2009. USA Datanet's operations have already been integrated with Alteva's, with USA Datanet focusing on businesses with less than 35 employees and Alteva on larger customers. The USA Datanet/Alteva combination also probably results in a better mix of voice and data services. The wireline business is shrinking, and WVT has made it clear that cloud communications are its future. Alteva President David Cuthbert is also WVT's COO and President of USA Datanet, and Alteva's Chief Sales Officer Louis Hayner and Chief Network Officer Mark Marquez also have WVT corporate responsibilities.

Its a bit difficult to get a complete breakout of Alteva in WVT's financial results, and will probably become more difficult now since the lines between Alteva and USA Datanet have become blurred. At the time of the acquisition last year, WVT CEO Duane W. Albro said the company paid "3.1 x current revenue", implying revenue in the $6 to 7 million range since the acquisition price was said to be $17 million. Revenue from Alteva reported by WVT from August 5 to the end of 2012 was just over $3 million, or about $600,000 per month. A WVT financial spokesperson contacted by Philly Tech News couldn't provide any other financial details on Alteva "other than to say they are growing fast". WVT has a market value of about $79 million and currently has 147 employees.
