Quality Systems, Inc., the Irvine, California-based corporation whose primary business unit is Horsham-based NextGen Healthcare, may be looking for a buyer, according to some reports.

Speculation was heightened by an agreement announced on Wednesday between Quality and activist investor Clinton Group, in which Quality is expected to add three of the investor's nominees to its board, two of whom will also serve on a transaction committee which will evaluate Quality Systems' strategy and direction.

Quality Systems, which provides electronic health record (EHR) systems and related services, was riding the wave of "meaningful use" funding authorized by the Federal stimulus program to incentivize medical practices to adopt electronic record keeping. The stock hit $48.50 in September 2011, but closed at $22.01 (NASDAQ: QSII ) on Friday as growth has lagged behind several other EHR providers, giving it a current market value of $1.3 billion.

Qaulity reported revenue of $460.2 million for its fiscal year ending March 31, 2013, an increase of 7% over the prior year. Net income was $42.7 million, a decrease of 44% from the prior year. Revenue generated by NextGen's operating units account for well over 90% of Quality's total revenue.

An analyst quoted in an Med City News article names Siemens, whose Malvern-based Healthcare IT unit already partners with NextGen in certain areas, as one possible buyer should it be sold.

Patrick B.Cline co-founded Clinitec, based in Horsham, in 1994; it was acquired by Quality Systems two years later and became the foundation of NextGen Healthcare. Cline retired from NextGen and Quality at the end of 2011, and is currently CEO of Irving, Texas-based Lightbeam Health Solutions.

NextGen Healthcare parent Quality Systems falls 33% on earnings shortfall

Quality Systems, Inc., the Orange County, California-based corporation which derives over 90% of its revenue from Horsham-based EHR (electronic healthcare record) provider NextGen Healthcare, had been a high-flying stock, with its shares lifted higher by the potential of the federal subsidy program designed to push healthcare practices to adopt EHRs and achieve the magical "meaningful use" designation. That picture had been deteriorating for a while, though, and today fell to earth as Quality pulled its full-year outlook after a below expectations beginning to its fiscal year. Quality (NASDAQ:QSII) closed the day down 33%. It shares are down 64% over the past year, and its market cap is now under $1 billion down from around $3 billion at its peak.

Quality Systems said today that its profit in its April-June quarter fell 18 percent to $15.5 million, or 26 cents per share, while sales rose 18 percent to $118.3 million. Software sales fell 11 percent to $25.8 million, but Reuters cites analysts who believe some software revenue may have been pulled in from the next quarter, understating the extent of the decline. Analysts differed on whether some of its problems were specific to Quality or due to more generic industry issues, but some believe Quality could be losing market share to competitors such as Cerner Corp and Athenahealth Inc.

Quality's CEO, Steven Plochocki, told the Wall Street Journal that most of the company's shortfall could be attributed to three big deals that failed to close in the quarter.

Board member and dissident shareholder Ahmed D. Hussein, who has been battling Chairman of the Board Sheldon Razin for years, is mounting a proxy contest to support the election of his seven board nominees at Quality's annual shareholder meeting to be held in mid-August, and issued a letter on that subject yesterday. Among his nominees is the well-respected Partrick B. Cline, who co-founded Clinitec, which grew to become NextGen Healthcare. Cline retired as President of Quality Systems at the end of 2011.

Healthcare IT Conference HIMSS 12 kicks off in Vegas

HIMSS 12, the annual conference of the Healthcare Information and Management Systems Society, starts in Las Vegas today, and Philadelphia area businesses and organizations are well represented there. In addition to large players Siemens Healthcare (Malvern), SAP AG (Newtown Square), NextGen Healthcare (Horsham), Medecision (Wayne) and Precyse Solutions (Wayne), there are scores of smaller ventures, institutions, providers, payers, industry experts and consultants who have made the arduous trek from Philly to Vegas.
