EPAM completes Alliance Global Services acquisition; reports put price at $50 million

I haven't seen an SEC filing from EPAM Systems (NYSE: EPAM) yet, but two sources in the Indian press are placing the price for the Newtown-based system integrator's acquisition of Conshohocken-based Alliance Global Services, now closed, at $50 million. The deal was announced last month.

A large portion of AGS' workforce is in India, as India's Business Standard reports that "Alliance Global Services has more than 1,100 engineers, testers and designers in its India delivery centres — at Hyderabad and Pune."

“The acquisition extends the company’s Global Delivery Platform by adding strong solution delivery capabilities in North America and in India and expanding EPAM’s expertise in software engineering productivity and automation services,” EPAM Chief Executive Officer Arkadiy Dobkin said, according to The Hindu Business Line .

Three area tech firms announced acquisitions yesterday:

Qlik Technologies, Radnor, acquired DataMarket for a maximum price of $13.5 million, Qlik reported in an SEC filing yesterday, and DataMarket subsequently shared the news on its blog. DataMarket is based in Cambridge, MA with a development office in Iceland (its country of origin). Its strength lies in sophisticated data visualization.

DataMarket Founder Hjalmar Gislason wrote in the blog post, "We are not disclosing a lot about our joint plans at this time, but I’ll still say that we see some very interesting opportunities in bringing together Qlik’s superb analytics products, with DataMarket’s unique abilities to pull in, maintain and normalize data from a vast range of 3rd party sources – all in an effort to fulfill the Qlik vision of simplifying decisions for everyone, everywhere."

EPAM Systems, Newtown, acquired UK-based Great Fridays, which also has offices in the US. Great Fridays "focuses on bridging the gap between business and design," EPAM said in its release. Terms were not available.

Great Fridays posted about the deal, describing it as an extension of EPAM's transformation that began with the 2012 acquisition of Conshohocken-based Empathy Labs.

And Heartland Payment Systems, Princeton, acquired xPient Solutions of Charlotte, a leading provider of retail POS (Point-Of-Sale) systems, to further strengthen its position in that market. Again, terms haven't been disclosed yet.

Today in Philly Tech History 2/8/2012: EPAM Systems completes IPO



On February 8, 2012, Newtown-based systems integrator EPAM Systems completed its IPO. Although it had to cut back on its offering (to 6 million shares at $12 per share from a planned 7.4 million shares at $16-$18), the so-called "Cognizant of Eastern Europe" since most of its workforce is based there has done well, as its share price has risen to $21.49 giving EPAM a market value in excess of $900 million.

Princeton based direct marketing data pioneer ALC (formerly known as American List Counsel) was apparently a financial backer of Conshohocken-based Empathy Lab, which was acquired by Newtown-based EPAM Systems last week. This is according to a press release issued by New York investment bank The Jordan, Edmiston Group, Inc., which said it represented ALC and Empathy Lab in the transaction.

Philadelphia-based Eureka Growth Capital is raising up to $150 million for its third fund, Fortune's Term Sheet reported in its email newsletter today based on information from regulatory filings. The publication says Eureka has already secured $46 million in commitments to the fund. I previously wrote about Eureka, its plans for a new fund, and its co-founder and managing partner Christopher G. Hanssens in October.

Philadelphia-based MDConnectMe, a mobile app that connects physicians with their patients and their families and friends, has raised $375,000 out of a targeted $500,000, according to an SEC filing reported by FormDs.com.

An acquisition announced yesterday passed me by, perhaps because it came out first over the Thomson Reuters One wire, which is rather obscure here (thanks to Technically Philly for picking up on it). Newtown-based EPAM Systems has acquired Conshohocken-based Empathy Labs. Terms were not disclosed in an SEC filing by EPAM.

The pairing might seem a little odd at first. Empathy Lab, founded in 2005, focuses on digital strategy and designs customer websites with an eCommerce focus, having clients such as The American Red Cross and Wilmington-based 21st Century Insurance. But it also has significant business in the cable and home entertainment industry, with clients such as Rogers Communications (the Comcast of Canada), NBC Universal, DirecTV, and Comcast itself. Empathy has also been heavily involved in developing TV-Everywhere applications for John Malone's Liberty Global, a largely Europe-focused cable operator, and other cable systems. I don't know how much this segment accounts for out of its total business, but it seems to be substantial. In EPAM's release, its CEO Arkadiy Dobkin cited Empathy's "proven expertise in two important growth areas - development and execution of enterprise-wide Commerce initiatives and transformation of Media consumption and distribution channels". I would guess another reason for EPAM buying Empathy is to acquire higher-level client-facing, strategy level executives to deal with major prospects in the US and Europe.

Flying Kite Media reported last year that Empathy was on target for 2011 revenue of $14 million, with about 70 employees at the time. Just last week Empathy announced several interesting new hires. Its CEO is co-founder Kevin Labick.

EPAM Systems went public in February of this year. Sometimes referred to as the Cognizant of Eastern Europe, because most of its technology wokforce is based there, its customers include Google, SAP, Barclays Capital and Coca-Cola. Dobkin came from Belarus and after migrating to the US worked for Colgate-Palmolive and SAP Labs before starting EPAM.

EPAM (NYSE: EPAM), founded in 1993, now says it has over 8,000 employees; at the time of its IPO the company told me it had about 150 employees in Newtown. In its third quarter 2012 results released in November, EPAM reported revenue of $110.1 million, up 27.4%, and GAAP net income of $14.1 million. Its market value is approaching $900 million.

Highlights: Last week on Philly Tech News (2/6/2012 to 2/12/2012)



Questions were raised about how open Philadelphia Media Network's bidding process is after groups represented by developer Bart Blatstein and members of the Perelman family claimed they were being shut out of it. PMN (non-editorial) spokesman Mark Block actually requested that two stories about Blatstein's interest be taken down, and they were. Blatstein, who purchased the Inky building last year, threatened to start a competing paper and website. It was unclear what other bids may have been received other than one from an Ed Rendell-led group.

Oracle announced a $1.9 billion acquisition of cloud talent management vendor Taleo; some saw it as a direct response to SAP's pending SuccessFactors deal, while others wondered whether it might have had more to do with the rising competitive threat from Workday.

Newtown-based systems development outsourcer EPAM Systems, Inc. completed its IPO last week after cutting back on its offering price and size; it currently trades at $13.65 up from the initial offering price of $12, and has a market cap of $555 million.

Questions were raised concerning Fisker Automotive's viability as it faced a cash crunch when the Feds held up the balance of a $529 million loan pending a review. Fisker laid off 26 employees in Delaware and halted
subcontracting work there. The Wilmington News Journal has provided excellent ongoing coverage of Fisker's troubles.

Two Philly area companies made fairly small but potentially important acquisitions. Amazon Prime competitor ShopRunner, part of Michael Rubin's holding company, acquired California-based startup Shopsanity, which helps ecommerce shoppers keep track of data about their various purchases. And Wayne-based Kenexa agreed to acquire OutStart, a Boston-based provider of SaaS e-Learning solutions, for $38.9 million.

Bob Moul, former GM of Dell Boomi and current President of Philly Startup Leaders, got back on the entrepreneurial side by becoming chairman & CEO of Philly-based appRenaissance, a mobile app development startup.

And I wrote about a new book by Joseph Turow of Penn's Annenberg School, "The Daily You", which raises issues about how all the data being collected on us through our online activities is being used.

Newtown-based EPAM Systems, Inc., a provider of outsourced informations system development services, has completed its IPO. It is trading on the NYSE under the symbol EPAM.

EPAM had to cut back sharply on the size of its offering. It sold only 6 million shares at $12 per share; originally it planned to float 7.4 million shares at $16-18 per share. Only 1.5 million of the shares were sold by the company, with the rest being offered by existing shareholders, meaning that proceeds to the company would be about $18 million. EPAM opened at $13.75 and closed at $14.00, up 17% from the original offering price. Its market value is in the $600 million range.

Sometimes referred to as the Cognizant of Eastern Europe, most of EPAM's developers are located in Central and Eastern Europe and Russia. Half of its revenue in the first nine months of 2011 came from North America; clients include several major tech and financial giants such as Google, SAP, Oracle, Barclays Plc and Citigroup. It has over 7,000 employees. Arkadiy Dobkin, EPAM's cofounder, CEO and President, came from Belarus and after migrating to the US worked for Colgate-Palmolive and SAP Labs before starting EPAM. Its services include end-to-end development capabilities, technology consulting, Infrastructure and hosting, QA & testing, and maintenance and support. Revenue for the first nine months 0f 2011 was $239 million, and net income was $32 million.

It is the first significant information technology IPO in the Philadelphia area since Radnor-based QlikTech went public in July of 2010.
