After Delaware court ruling, Liberty Media split-off to occur on Friday; What does it mean?

Liberty Media Corp announced yesterday that the Delaware Supreme Court had ruled in its favor in turning down an appeal of a previous Delaware Chancery Court ruling denying a challenge to its long-planned split-off, clearing the way for the move to be completed on Friday.

Everything Liberty does under Chairman John Malone might seem rather confusing to to some; his corporate structure and transactions are often geared towards maximizing tax advantages, among other goals. Liberty has been a constantly evolving investment vehicle. Malone, who has some Philadelphia connections (he was a top exec at Horsham-based General Instruments early in his career and his son Evan is founder of Philly's NextFab Studio and is also on the board of Liberty Media), is not reluctant to sell assets at the right price, and when the tax implications are favorable, then redeploy funds into what he sees as a more favorable opportunity.

Liberty Media before the split-off has consisted of three "tracking stocks"; Liberty Interactive (LINTA), consisting primarily of West Goshen Township-based QVC and some other smaller interactive eCommerce companies; Liberty Capita (LCAPA), which has interests in several media companies and also includes Berwyn-based wireless locator TruePosition and the Atlanta Braves; and Liberty Starz (LSTZA), which holds the movie channels that operate under that name. Tracking stocks are investment vehicles which reflect the value of a company's assets, but the shares do not actually represent legal ownership of part of those assets. Confusing, uh?

When the split-off is completed, Liberty Media will be renamed Liberty Interactive. Liberty Interactive (including QVC), will now be an asset-backed stock (shareholders will actually own part of the assets) as opposed to a tracking stock. Liberty Capital and Liberty Starz will continue to be tracking stocks under a new Liberty Media parent.

There will be a lot of cash (up to $10 billion), although its not clear exactly where that will be allocated and some will be used for share buybacks. The split-off opens the door for a number of rumored or possible plans to move forward:


  • Acquisitions and investments: "We've been pretty frozen by this split-off interregnum," Malone was quoted as saying at Liberty's annual shareholder meeting earlier this month by Multichannel News. "You can probably expect a lot more activity by us post the split-off".
  • Liberty Interactive may move to buy the roughly 70% of HSN (parent of Home Shopping Network) it does not own and integrate it with QVC.
  • Rumors have been floating around that Liberty Starz could be acquired, with Time Warner named as one possibility.
  • I could see some possibilty of a move with TruePosition, which doesn't particularly fit with other types of Liberty interests and could fetch a nice price because of the wireless IP goldrush.
  • You could also see some movement with the Atlanta Braves, if a good buyer is out there. Liberty acquired the Braves as part of an asset trade with Time Warner, and nobody has believed it has a long term strategic interest in it.

Beyond that, QVC could benefit from an increased strategic emphasis on building a larger eCommerce business around it.

Liberty Media to separate businesses; Implications for QVC, TruePosition and Atlanta Braves

John Malone's Liberty Media said yesterday that it will split off its Liberty Capital and Liberty Starz units from Liberty Interactive, which controls West Chester-based QVC. Liberty Capital includes Berwyn-based TruePosition, which primarily uses cell tower triangulation to identify mobile phone locations, and the Atlanta Braves, two companies that do not really fit together, as well as interests in other media properties. Liberty Interactive will become an "asset-backed" company rather than function as a tracking stock; tracking stocks (which are one of my pet financial peeves) do not actually own the underlying assets of the businesses they reflect.
I think this deal will open up new strategic possibilities for QVC, TruePosition and the Braves. Baseball people have always speculated that Liberty's ownership of the Braves, who were acquired as part of a deal with Time-Warner in 2007, would be short-term.
The Wall Street Journal quoted Morgan Stanley analyst Ben Swinburne as saying the transaction was "a vote of confidence in the stability of QVC."


TruePosition

About a week ago I posted this article on a decision by the DC Appeals Court to stay a ruling by the FCC requiring more stringent accuracy requirements for mobile phone E911 services. I suggested that this position might not be beneficial to Berwyn-based TruePosition, since its cell tower triangulation methodology seemed to most closely adhere to the standards the FCC was trying to impose.
Anyway, TruePosition today issued a press release to coincide with CTIA in Las Vegas announcing its new "hybrid" solution to E911, involving the use of both cell tower triangulation and GPS identification, sometimes in the same area, if I understand it correctly. It sounds as if they are positioning the hybrid solution as going far beyond E911, toward more sophisticated commercial location-based services (LBS).
TruePosition also announced some significant promotions, and released its "Seven Key Drivers for LBS Success" .


On TruePosition


About three weeks ago I commented on a reported siginificant decline in results at TruePosition, the Berwyn wireless location-based services vendor which is 89% owned by John Malone's Liberty Media(and attributed to its Liberty Capital Group tracking stock). BTW, at the time I referred to its technology as "GPS based" but it really is not. Rather, it finds locations by calculating the distances between different cell towers.
So I looked into it and this is what I found in Liberty's 10-Q filing:

REVENUE. Our consolidated revenue increased $168 million or 8.3% and $390 million or 9.9% for the three and six months ended June 30, 2007, respectively, as compared to the corresponding prior year period. The three month increase is due primarily to a $63 million or 3.9% increase for QVC, $66 million generated by Starz Media, which we acquired in August 2006 and $50 million generated by the Atlanta Braves, which we acquired in May 2007. The six month increase is due to a $192 million or 6.0% increase for QVC, $127 million generated by Starz Media and $50 million generated by the Atlanta Braves. In addition, we recognized a full six months of revenue for Provide and FUN in 2007. These increases were partially offset by $27 million and $51 million decreases for TruePosition for the three and six months ended June 30, 2007, respectively. In November 2006, TruePosition signed an amendment to its existing services contract with Cingular Wireless that requires TruePosition to develop and deliver additional software features. Because vendor specific objective evidence related to the value of these additional features does not exist, TruePosition is required to defer revenue recognition until all of the features have been delivered. TruePosition estimates that these features will be delivered in the first quarter of 2008. Accordingly, absent any further contractual changes, TruePosition will not recognize any revenue under this contract until 2008. TruePosition's services contract with its other major customer, T-Mobile, Inc., has a similar provision which prevents TruePosition from recognizing revenue. It should be noted, however, that both Cingular Wireless and T-Mobile are paying currently for services they receive and that the aforementioned deferrals have normal gross profit margins included. I'm not sure what this means. Is this simply a short-term blip caused by specific requirements for deliverables that is (virtually) guaranteed to be made up in 2008, or does this reflect some degree of client dissatisfaction with the performance of the product that could materially effect the long-term financial prospects of the business? I don't know. There may not be a big problem here, and I know there are legal limitations on what you can say and can't say, but if I was an investor in the company I would want a clearer explanation than that.

TruePosition's core application right now is to provide systems that enable wireless carriers meet FCC standards for E-911 coverage. This past week, The FCC considerably toughened those standards in ways that could help TruePosition. Accuracy requirements must be meet at local service area levels rather than on statewide average levels. The implications of this are obvious in a state such as Pennsylvania, with the large concentration of population in a few areas and the rest of the state being mostly rural. Benchmarks have been established toward ensuring full compliance by September 11, 2011. Many in the industry are very critical of the standards and timelines, believing that new technologies are being tested and developed that could provide better performance in the future. But if wireless carriers are forced to ramp up quickly, using existing technologies, TruePosition should be in a position to benefit, both in terms of business from their existing US customers(AT&T and T-Mobile), and also in the potential to pick up business from other carriers who might at the very least need TruePosition in order to achieve some kind of "hybrid" solution.

Lastly, on Friday TruePostion won a patent-infringement case against Andrew Corp in the amount of $45.3 million, after a two week trial in Delaware. The amount of the award could be potentially tripled, though in any case such as this at the Federal District Court level, it will probably be a long time before they see any money out of it.
