Conshohocken-based ecommerce software company Monetate added two new outside board members last week, both having connections to social marketing management platform ExactTarget, which was acquired by Salesforce last year for $2.5 billion.

Tim Maudlin served on the Board of Directors of ExactTarget, a NASDAQ listed company prior to its acquisition by Salesforce last year, as Lead Independent Director, Chair of the Audit Committee, and Chair of the Nominating and Governance Committee. He has held similar board responsibilities for Web.com, MediaMind Technologies Inc., Fanatics, Inc. prior to its acquisition by GSI Commerce in February 2011, and Newegg. He also manages a VC firm, Medical Innovation Partners.

The other addition, Tim Kopp, served as CMO of ExactTarget prior to its acquisition by Salesforce.

Other Monetate board members are Josh Kopelman of First Round Capital (an early Monetate backer), Sam Decker (founding CMO of Bazaarvoice), Lucinda Duncalfe (Founder & CEO, Real Food Works), Adam Marcus, Managing Director of OpenView Partners (a major Monetate investor), and David Bookspan, Monetate Founder and Chairman.

These appointments don't indicate any direct relationship with Salesforce, since Kopp and
Maudlin have no current connection to the company. But they may be another step toward
preparing Monetate for an IPO, particularly given Maudlin's strong corporate governance background with public companies.

As CEO David Brussin was quoted as saying in the Daily News late last year, "in a couple of years, we'll be a public company and a lot larger."

Monetate lists ExactTarget as a "Compliant Partner", meaning its technology platform and products "natively integrate with Monetate", according to Monetate's website. In January, Monetate announced a partnership and software integration with SAP's hybris, in some regards a competitor to ExactTarget. hybris is listed by Monetate as a technology partner.

Yesterday, SAP teamed up with Adobe on a global agreement under which SAP will resell Adobe's Marketing Cloud software suite along with SAP's Hana in-memory database platform and Hybris Commerce Suite. Adobe currently does not appear among Monetate partners on its website. (Brussin cites Adobe as a Monetate competitor in the Daily News article.)

Update 4/5: This past Thursday, Monetate announced the appointment of
Bob Lawson as Chief Financial Officer
. Lawson had been senior vice president and chief financial officer at RingCentral when it did its IPO last year.

"Lawson brings to Monetate proven expertise in helping pre-IPO and public companies drive organizational improvements and achieve outstanding financial results," Monetate said in a statement announcing the appointment.

Previous CFO David Stetson (see Philly Tech News profile from last year) apparently resigned at the beginning of 2014, after less than a year on the job. Around the same time, former VP of Marketing Blair Lyon (now CMO of LeadiD) left.

No one who has followed Conshohocken-based Monetate, the SaaS vendor whose products help retailers and other brands customize their websites to the needs of individual users, and its progress would be surprised to hear that they are thinking about going public. But timing is a key issue. A company has to demonstrate the revenue base, size of market opportunity and credibility (not necessarily immediate profits) to gain investor confidence.

Now CEO David Brussin has said something more definitive about the subject than I've heard him say before. In an interview with the Daily News appearing yesterday, Brussin said, "in a couple of years, we'll be a public company and a lot larger. We want to be here. I can't even imagine this company not being in Philadelphia."

If Monetate is going public within two years (assuming there are no drastic setbacks, or market turbulence, or someone makes an offer they can't refuse) that probably means the thought process and preliminary planning must be moving along.

Brussin also provided another useful piece of information in the Daily News story (credit
Daily News staff writer Michael Hinkelman with getting the story). He said, "a small [Monetate] client might be $75,000 a year. A large client - millions of customers - might be more than $1 million in fees annually". I'm not going to get into a guessing game about Monetate's revenues based on that information, although I am somewhat surprised to learn that it may have million dollar plus clients. Monetate said in a press release early
this year that it more than doubled its client base in 2012 and added over 100 brands
This would imply that it had somewhere in the neighborhood of 200 distinct accounts.
I asked a Monetate representative for an update on this but have yet to receive a response.

At mid-year 2013, Monetate said revenue for the first half of the year increased 127%
over the prior year. It expects to finish 2013 with at least 225 employees, and is offering generous bounties for successful referrals.

Two interesting items from about a month ago which I have meant to mention:




First, VC firm Bessemer Venture Partners released the BVP Cloud Computing Index, and a downloadable chart it says is updated weekly showing the key metrics of 30 leading public cloud computing companies as defined by Bessemer (there is certainly often room for debate about what is or isn't a cloud computing company). No Philly companies are included, although clinical trial software company Medidata Solutions has a fairly large presence dating mostly from its 2008 acquisition of Conshohocken-based Fast Track Systems. Kenexa presumably would have been on it had it not been acquired by IBM, and Radnor-based QlikTech really isn't a cloud computing company at this time; its products are offered primarily through on-premise software. Legacy companies such as SAP AG and Unisys are a long way from being considered pure cloud plays.

One data point in the metrics is the Enterprise Value/Revenue ratio for the 30 companies, which has a median of 6.7x and a mean of 7.9x. So when you hear about SaaS companies doing IPOs with EV/Revenue ratios of 10x or considerably more in some cases, it shouldn't be surprising.

The other item is an article in the Wall Street Journal about Adam Marcus, Managing Director of Boston-based OpenView Venture Partners, the VC firm that has made significant investments in Philly area startups Monetate, NextDocs and Xtium. Marcus compiled a list of 96 public SaaS companies and noted that two-thirds of them are located outside of Silicon Valley.

Marcus finds the Bay Area tech ecosystem expensive, unstable in terms of employee retention and having valuations too high in comparison to other regions, according to the Journal. He said OpenView doesn't invest in San Francisco companies. Perhaps more attractive valuations and less hypercompetition among investors explain in part why OpenView made its trio of investments in the Philadelphia area. Others disagree with Marcus' assessment, pointing out that the most of the more valuable SaaS companies remained clustered in the Bay Area, the article points out.

After considerable delay (it took me longer to put this together than I anticipated) here is my updated, revised and expanded (to 41 companies, actually, from 30 previously) Philly Tech News "Young Companies to Watch".

Rankings reflect a general, though by no means precise, estimate of relative market values based on revenue or profits when reported, growth, invested capital and reported valuation points, and a scattering of any other data points and inferences that I could gather. Also I look at non-quantitative indicators such as a startup's intellectual property, the track record of its leadership, and evidence of market acceptance.

The depth and quality of these Philly-area startups, I believe, is much stronger than in the past, and there many other excellent startups not on this list but are included on the bench (see others to watch). And then there is a entirely different tier of earlier-stage startups that others in Philly area have compiled information on.

This is not a revenue-driven list; relative market values may vary greatly from revenue comparisons according to the quality of a company's intellectual capital, its market acceptance, and its long-term potential for growth and profitability. There are many other excellent consulting firms and agencies, but for this purpose I focus on product-driven businesses.

Each company is privately held (though publicly traded corporations may hold a minority interest in some, and InsPro Technologies has a small public float but most of its value is in its non-listed preferred shares) and has an official headquarters or co-headquarters in the broader Philadelphia region. All of these companies' strategies are largely driven by proprietary information technology.

At the least, the top five companies (SevOne, iPipeline, InstaMed, Quintiq & Monetate) may have the potential to become IPO candidates if they do not have some other exit first. Another notable trend is the strength in the insurance software space, which appears to be booming. iPipeline, InstaMed, InsPro Technologies, Unirisx and Adaptik are all represented, and there is also Adminovate which is not included here now but may be soon.

I update these rankings on a regular basis as new information becomes available, and welcome input or insights that that might enhance their accuracy.

Monetate's new CFO David Stetson

Conshohocken-based Monetate's newly appointed Chief Financial Officer, David Stetson, received an MBA from Wharton, but he is not, as he told me in a phone interview, a native of the Philadelphia area. Rather, he says he is an "eighth generation Vermonter." In fact, his most recent position, for three years, was as CFO of Vermont-based Dealer.com, which is similar to Monetate in that it is not a brand name that most consumers see, but provides auto dealers with the tools needed to run their websites and manage inventory and customer relationship management (CRM). Privately-held Dealer.com, which the Burlington Free Press calls "everybody’s favorite poster child for Vermont’s new digital economy," is a sizable operation, with some 700 employees and anticipated 2013 revenue in excess of $200 milion, according to its CEO. It has receive venture backing from prestigious VCs including a reported $30 million from Accel Partners in 2011. Dealer.com says it has 7,000 dealers as customers in the US out of some 18,000 dealers nationwide.

Stetson's responsibilities as Monetate's new CFO include finance, human resources and operations. Operations, he tells me, includes building the administrative and enterprise systems needed to manage Montetate's rapid growth. Stetson says just as the company is committed to using cloud technologies in developing its products and serving its customers (for example, Monetate delivers its product as a SaasS offering and uses Salesforce.com as its CRM), he is comitted to using the Cloud for Monetate's enterprise systems. It is currently implementing a cloud-based Human Resources Management System (he won't name the vendor right now) as it seeks to manage headcount growth from its current 155 to a projected 230 or so by year end, and will be looking next at Enterprise Resource Planning (ERP) solutions, which help manage and integrate several functions across the business. While SAP is probably a bit of overkill for a company of that size (though SAP might argue otherwise), Stetson did say Monetate will consider Tier II vendors such as NetSuite, Infor, and Microsoft Dynamics which may be better suited to Monetate's current scale.

Monetate's specialty is in "personalizing" an end user's experience when visiting a website. Once a snippet of code is added to the website of a Monetate customer, the company says, non-technical marketing people can then make the enhancements to websites to achieve the desired functionality without further coder intervention. Monetate's software also enables rapid prototyping and A/B testing. Although until recently Monetate has been focused almost completely on retailers, it is now seeking to expand into markets such as consumer products, travel and financial services.

Most of Stetson's career prior to Dealer.com was spent as a tech investment banker, including a stint as Head of Equity Capital Markets for Lehman Brothers' Global Technology Group. So he certainly has the needed experience in terms of understanding financial markets and raising equity. A company with Monetate's growth potential must be considered a possible future IPO candidate, although I doubt that it would be ready for that step for some time. And of course, its always possible that a major ecommerce player or Amazon competitor (think eBay, Google, perhaps Facebook) could look at it as an acquisition candidate. But Stetson emphasized he joined Monetate not for any anticipated exit, but rather for the journey, and the chance to work with co-founder and CEO David Brussin and a very talented team. "Nobody at Monetate is working here for a paycheck," he said, but rather for the opportunity to build something special.

Stetson says he hopes to have slightly better digs than what he had while attending Wharton, and will probably relocate his family somewhere out in the western suburbs. His favorite participatory sports are Freeskiing (a bit more difficult to do in southeastern Pennsylvania than in Vermont) and golf.

Moentate also announced last month the addition of John Healy as chief operating officer, along with Stetson. Healy came from GSI Commerce. Neither position existed previously, but were added to help manage Monetate's growth. The company said in an SEC filing in late February that it had raised another $15.2 million in venture capital. Its last big raise was $15 million in 2011, led by OpenView Venture Partners. First Round Capital was a seed investor, and Josh Kopelman is on Monetate's board. The company said it more than doubled revenue, customers and employees in 2012.
